1. Acceptance of Terms
01By accessing, registering on, or otherwise using any service, feature, or page operated by Ledgehold Enterprise (trading as ProlyfiQ) including but not limited to the campus marketplace, utility hub, FoodRun™ logistics service, merchant tools, and TV Hub, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional guidelines or policies published on the platform.
2. Scope of Services
02ProlyfiQ is a campus-focused digital platform operated by Ledgehold Enterprise and designed to consolidate student commerce, logistics, and digital utility access. Our active service lines include:
- Campus Marketplace: A secure peer-to-peer buying and selling environment enabling merchants to list goods, with escrow-protected buyer payment flows.
- Utility Hub: Instant digital fulfilment for mobile airtime, data bundles, ECG electricity credit purchases, DStv, and GOtv subscription renewals.
- FoodRun™ Logistics: An on-campus delivery service linking buyers with student delivery agents specifically for food orders within supported campus zones.
- Merchant Tools: A dedicated suite providing verified merchants with storefronts, sales activity logs, and marketing tools.
- TV Hub: A curated entertainment discovery layer featuring publicly available third-party content and selective affiliate links.
3. Eligibility & Registration
03For Buyers: Buyers can browse the marketplace, purchase items, and pay for utilities seamlessly without ever needing to create an account.
For Merchants: To list items or utilise our merchant tools, you must register for a Merchant Account and meet the following eligibility requirements at all times:
- Age & Affiliation: You must be at least 18 years of age and possess a valid institutional or campus affiliation where required.
- Accuracy of Information: All information you provide including your name, contact details, and payment credentials must be accurate, current, and complete.
- Single Account Policy: Creating duplicate or fraudulent merchant accounts to circumvent platform limitations is strictly prohibited.
4. Account Security & PIN Policy
04Security is a shared responsibility. Ledgehold employs strong server-side hashing so that no employee or third party can ever view your access credentials. Despite these protections, you bear full responsibility for the confidentiality of your account.
- Credential Confidentiality: Your access PIN and merchant credentials must never be disclosed to anyone. Our support team will never ask for your PIN.
- Exact Match Requirement: All identifier inputs must exactly match the spelling and formatting you established during registration.
- Resetting Your PIN: If you forget your PIN, you do not lose access to your account. You can reset it at any time by clicking the "Forgot PIN" button on your merchant login screen and providing the exact Merchant ID format (e.g., "Kwadwo Nkansah 1234") that was sent to you in your registration success SMS.
5. Marketplace & Escrow Protection
05The ProlyfiQ Marketplace facilitates peer-to-peer trading. All marketplace payments are processed through a mandatory escrow mechanism where funds are securely held by Ledgehold until the physical handoff is confirmed at a designated campus exchange location.
At checkout, buyers are presented with protection options gated by transaction value. The options available to you are determined automatically based on the item price:

6. The Gatekeeper Policy
06- Merchant Responsibility: Merchants must ensure buyers complete the verification step during the physical handoff. Failure to obtain platform-confirmed delivery proof forfeits the merchant's right to disbursement for that transaction.
7. User Safety & Exchange Policy
07The safety of every ProlyfiQ user is a non-negotiable platform standard. All physical exchanges between buyers and merchants must take place strictly within the conditions established by this policy. Deviation from these conditions voids all platform protections applicable to the transaction.
- Designated Exchange Locations Only: All physical handoffs between buyers and merchants must occur exclusively at ProlyfiQ-designated campus exchange landmarks as listed on the platform at the time of purchase. Exchanges must not take place in private residences, off-campus locations, moving vehicles, or any location not listed as an approved exchange point.
- Listed Exchange Times: Exchanges must be completed within the platform-published operating time windows for the relevant campus. Arrangements made outside listed exchange hours are not covered by escrow protection and will not be eligible for dispute resolution.
- Buyer's Right to Refuse Relocation: A merchant may not request, suggest, or pressure a buyer to change the agreed exchange location or time at any point after an order is placed. If a merchant requests that the exchange be moved to an unlisted location or outside listed hours, the buyer has the absolute right to decline, cancel the order, and report the request to ProlyfiQ support. Such a request by a merchant is a violation of these Terms and will be investigated.
- Do Not Agree to Off-Platform Changes: Buyers must not agree to any alteration of exchange location, time, or payment method proposed by a merchant after checkout. All exchange conditions are set by the platform at the time of purchase and are not subject to renegotiation between the parties. Any merchant who proposes such changes should be reported immediately.
- Reporting Unsafe Requests: If a merchant asks you to meet in an unusual or unlisted location, requests cash payment, or attempts to conduct the transaction outside the platform, report it immediately via our WhatsApp support line before proceeding. Do not attend any exchange that feels unsafe or inconsistent with the platform's confirmed details.
- Protection Void on Policy Breach: If a buyer knowingly agrees to conduct an exchange outside a designated location or outside listed hours and a dispute subsequently arises, Ledgehold reserves the right to decline escrow mediation on the grounds that the platform's safety conditions were not observed. Escrow protection is contingent on compliance with this policy.
8. Delivery & FoodRun™ Logistics
08FoodRun™ connects you with student delivery agents ("Runners") exclusively for food orders from third-party vendors.
- Approved Handover Locations: All deliveries must be completed at officially designated campus landmarks or hostel collection points. Runners will wait a maximum of ten (10) minutes at the designated handover point before the order is marked as a failed delivery.
- Food Order Finality: Due to the perishable nature of food items, you may not cancel a FoodRun™ order once a Runner has collected it from the vendor.
- Vendor Quality & Support: If you experience quality, accuracy, or hygiene issues with your food, please report it immediately through our support system. We will step in to mediate and contact the vendor on your behalf to help find a fair resolution.
9. Utility Payments & Top-Ups
09All utility and airtime/data purchases are routed through licensed third-party payment networks.
- No Reversals After Confirmation: Once a digital top-up or bill payment has been confirmed by the network, the transaction is final and irreversible.
- User Verification Responsibility: You are solely responsible for verifying the correctness of the destination phone number or meter address. Ledgehold accepts no liability for funds disbursed to an incorrect destination due to user error.
- Failed Transactions: If a payment is debited but the service is not delivered, contact our support team within 24 hours. We will investigate and credit your account if a platform-side failure is confirmed.
10. Merchant Terms & Fees
10Merchants selling on the platform agree to the following financial frameworks:
- Minimum Listing Value: The minimum allowable price for any single item or bundled package listed on the marketplace is GHS 5.00.
Platform Service Fee Schedule:
Deducted from merchant payout on successful transactions only. No fee is charged on transactions that do not complete.

Outbound Network Transfer Fee Schedule:
A flat transfer fee is deducted from each merchant disbursement to cover outbound network routing costs.

- Transparency Disclosure: All applicable platform fees and transfer charges are calculated and displayed clearly on the listing creation screen before a merchant publishes an item.
- Merchant Accountability: Merchants with frequent or consecutive refund requests against their listings are subject to warning, temporary suspension, or permanent account termination on the basis of listing accuracy and item authenticity standards. Merchants are solely responsible for ensuring that listed items accurately represent the goods presented at the point of physical exchange.
11. Prohibited Conduct
11The following conduct is strictly prohibited and may result in immediate account suspension and fund forfeiture:
- Fraud & Impersonation: Impersonating any person or brand, or misrepresenting the condition of goods.
- Fee Circumvention: Soliciting transactions outside the platform to avoid escrow requirements or fees.
- Exchange Policy Violations: Requesting, pressuring, or facilitating an exchange outside a designated campus location or outside published exchange hours.
- System Manipulation: Attempting to tamper with payment flows or delivery confirmation systems.
- Unlawful Listings: Listing stolen property, weapons, or any item prohibited under Ghanaian law.
12. Intellectual Property
12All platform content, code, branding, visual design elements, and proprietary methodologies are the exclusive intellectual property of Ledgehold.
- Limited Licence: You are granted a non-exclusive licence to access the platform solely for its intended purposes. You may not reproduce, modify, or distribute platform content.
13. Privacy & Data
13Ledgehold Enterprise complies with the Ghana Data Protection Act, 2012 (Act 843). The collection and processing of your data are governed by our Privacy Policy.
- Data We Collect: We collect necessary operational data to provide our services, prevent fraud, and process transactions. We do not sell your personal data.
- Payment Data: All payments are handled by PCI-compliant third-party processors. Ledgehold does not store full card numbers on its servers.
14. TV Hub & External Content
14The TV Hub provides a curated interface for discovering entertainment and commerce links.
- Third-Party Media: Content is sourced from public hosting platforms. We do not claim ownership of this media.
- Affiliate Disclosures: We participate in commercial affiliate programmes. Clicking external product links may earn Ledgehold a referral commission at no additional cost to you.
15. Disclaimer of Warranties
15To the fullest extent permissible under Ghanaian law, Ledgehold provides the platform on an "as is" and "as available" basis, without any warranty regarding uninterrupted access, the quality of goods listed by merchants, or the reliability of third-party networks.
16. Limitation of Liability
16Ledgehold shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the platform, disputes with other users, incorrect utility entries, or third-party network failures.
17. Suspension & Termination
17Ledgehold reserves the right to suspend or permanently terminate your access to the platform if you breach these Terms, if we suspect fraudulent activity, or if required by law.
18. Amendments
18We may update these Terms at any time. Your continued use of the platform after an amendment takes effect constitutes your binding acceptance of the revised Terms.
19. Governing Law & Disputes
19These Terms shall be governed by the laws of the Republic of Ghana.
- Informal Resolution: You agree to contact our support team to attempt to resolve any dispute through direct dialogue before initiating formal proceedings.
- Formal Arbitration: Unresolved disputes shall be referred to binding arbitration under the Arbitration Act, 2010 (Act 798) of Ghana, conducted in Accra.
